The scheme involves the execution of a Share Purchase Agreement where Coastal Cedar Investments B.V., an affiliate of Warburg Pincus, will acquire the entire 41.09% equity stake held by APG Strategic Real Estate Pool N.V. in Fleur Hotels Limited. Additionally, Warburg Pincus will invest up to ₹960 crore in Fleur Hotels to support its growth. The reorganization is designed to simplify the group structure and enhance strategic focus.
The financial terms of the arrangement include the acquisition of APG’s stake in Fleur Hotels by Coastal Cedar Investments B.V. and a primary capital infusion by Warburg Pincus of up to ₹960 crore. This investment will be made in tranches to support the future growth of Fleur Hotels. The transaction marks a renewed partnership between Warburg Pincus and Lemon Tree, following their previous collaboration in 2006.
Operationally, the reorganization will result in the creation of two distinct platforms. Lemon Tree Hotels will transition to a pure-play, asset-light hotel management and brand platform. Fleur Hotels will become a large-scale growth-oriented hotel ownership platform with development capabilities. The hotel assets currently owned by Lemon Tree will be transferred to Fleur, which will lead future hotel acquisitions and development. Lemon Tree will focus on expanding its hotel management, franchising, and digital business.
The implementation of the Composite Scheme of Arrangement is subject to customary regulatory and shareholder approvals. The appointed date for the scheme is April 1, 2026. The process, including the listing of Fleur’s shares on NSE and BSE, is expected to be completed within 12 to 15 months. The scheme will be implemented through a process approved by the National Company Law Tribunal (NCLT).
The parties involved in the transaction include Lemon Tree Hotels Limited, APG Strategic Real Estate Pool N.V., Coastal Cedar Investments B.V., and Fleur Hotels Limited. Mr. Patanjali Govind Keswani, Founder of Lemon Tree Hotels, will serve as the Executive Chairman of Fleur Hotels and will transition to a Non-Executive role at Lemon Tree. Morgan Stanley acted as the exclusive financial advisor for the proposed transaction.
