The acquisition is valued at approximately ₹372.81 Crores, based on an independent valuation report by Registered Valuer Mr. A.N. Gawade. The transaction involves no immediate cash outflow, as it is structured as an all-share deal. This strategic move is intended to position Blue Cloud in the AI-driven energy and digital infrastructure sector, expanding its market presence and capabilities.
The operational scope of the acquisition includes access to strategic infrastructure assets, such as approximately 196.7 acres of land in Chhatrapur, Odisha. This land is planned for phased data center development, with capacities ranging from 5 MW to 100 MW. The acquisition also includes distributed energy infrastructure, energy-as-a-service models, and AI-driven energy optimization platforms, which are expected to support AI-intensive data center operations.
The timeline for the transaction includes the completion of regulatory and shareholder approvals by May 2026. The phased development of the data center campus in Odisha will proceed in stages, starting with 5 MW in Phase I, followed by 25 MW in Phase II, and culminating in 100 MW hyperscale capacity in Phase III.
Upon completion, Global Impx Inc. will become a wholly owned subsidiary of Blue Cloud Softech Solutions Limited. The acquisition will also bring several step-down subsidiaries under Blue Cloud’s umbrella, including ConnectM Technology Solutions Private Limited and Geo Impex & Logistics Private Limited. These entities will play a role in the development and execution of large-scale infrastructure projects.
