Allied Blenders Acquires Distillery Assets for ₹110 Crores

Allied Blenders and Distillers Ltd has announced the acquisition of assets related to a non-operational distillery and bottling facility in Uttar Pradesh. The assets, acquired from National Industrial Corporation Private Limited, include land, building, plant, machinery, and licenses. This acquisition was approved by the Management Committee of the Board of Directors on January 16, 2026, and aligns with the company’s growth strategy.

The total consideration for the acquisition is up to ₹110 crores. This amount includes up to ₹70 crores towards the acquisition cost, which covers statutory levies and charges. Additionally, up to ₹40 crores will be allocated for the upgradation of ground infrastructure and the establishment of a bottling unit. The acquisition will be funded through a combination of internal accruals and debt, with the company having entered into the relevant definitive agreements.

The acquisition involves a non-operational facility strategically located in Moradabad, Uttar Pradesh. This location provides an adequate land parcel to accommodate the expansion of existing capacity and further enhance backward integration capabilities. The acquisition aims to increase the company’s IMFL bottling capacity in Uttar Pradesh and expand the distillery capacity to boost captive consumption of ENA.

No governmental or regulatory approvals are required for this transaction. The acquisition is expected to be completed by July 31, 2026, with the infrastructure upgrades to be finalized within 12 months of the acquisition. The transaction does not involve any related party transactions, and the promoter group has no interest in the entity from which the assets are being acquired.

National Industrial Corporation Private Limited is involved in the manufacture of alcoholic beverages, including whisky, brandy, rum, gin, and vodka, serving customers worldwide. The acquisition of assets from NICOL does not involve the acquisition of the entity itself, focusing solely on the physical and operational assets.
