Bluspring Acquires LSG India, Expands into Aviation Catering

Bluspring Enterprises Limited, through its wholly owned subsidiary Bluspring New Horizon Two Private Limited, has signed a definitive agreement to acquire 100% shareholding of LSG Sky Chefs (India) Private Limited. This acquisition facilitates Bluspring’s entry into the aviation catering sector, with a strategic focus on operations at Kempegowda International Airport, Bengaluru. The transaction involves acquiring the Bengaluru operations of LSG India, while the Hyderabad operations will be carved out prior to closing.

The Bengaluru operations of LSG India generate revenue exceeding INR 110 crores and maintain mid-to-high-teens EBITDA margins. The acquisition provides Bluspring with access to in-flight catering facilities under a long-term concession agreement valid until 2039. The financial terms of the acquisition were not disclosed in the filing. The transaction is anticipated to close within the next 60–90 days, pending customary closing conditions.

LSG India, founded in 2001, is a provider of in-flight catering and allied aviation services for airlines such as IndiGo, Lufthansa, Etihad, and Qatar Airways. The Bengaluru facility spans an area of 9272 square meters, with a capacity to produce approximately 15,000 meals per day. The facility also has potential for expansion to support future growth. LSG India’s integrated catering and logistics capabilities cover the entire aviation catering value chain, supported by a workforce of over 400 employees.

The acquisition aligns with Bluspring’s strategy to expand its food and hospitality platform into adjacent airport-linked services. According to Bangalore International Airport Limited estimates, air passenger traffic at Bengaluru airport is projected to increase from approximately 45 million to over 70 million by 2030. This growth provides Bluspring with a platform to capture the expanding aviation catering market across India.

The transaction is expected to be completed within 60–90 days, subject to customary closing conditions. Bluspring’s acquisition of LSG India is a strategic move to enhance its presence in the aviation services ecosystem, leveraging its existing capabilities in food services.
