As a result, Globalbees’ shareholding in HS Fitness has increased from 80% to 86.49%.
The acquisition was completed for a total consideration of INR 2.40 Crores, which was paid in cash. This transaction was conducted at arm’s length, and the group companies have no interest in HS Fitness beyond their shareholding and common directorship. The acquisition does not require any governmental or regulatory approvals.
HS Fitness Private Limited is engaged in the business of dealing in fitness equipment under the “REACH” brand. The company also provides various services, including installation, repair, manpower, and maintenance services. The “REACH” brand, sold through multiple subsidiaries of Globalbees, generated a combined turnover of more than INR 17.5 Crores in the financial year 2024-25. HS Fitness reported a turnover of INR 7.59 Crores for the same period, with a net worth of INR -18.54 Crores.
The acquisition was finalized on December 2, 2025. The transaction aligns with the strategic agreements previously established on January 19, 2022. The acquisition is part of Globalbees’ ongoing efforts to consolidate its holdings in HS Fitness, enhancing its control and influence over the subsidiary’s operations.
