This transaction is part of a Share Subscription and Shareholders Agreement (SSSHA) with AMP Energy, which was initially disclosed on 24th June 2025. The acquisition makes AMP Energy an associate company of CIE Automotive as of 2nd December 2025.
The financial terms of the agreement involve a cash consideration for the shares acquired. The first tranche of the investment, amounting to INR 1.31 crore, has been completed with the allotment of 13,12,500 equity shares. This tranche represents 39.94% of AMP Energy’s paid-up equity share capital. CIE Automotive plans to increase its stake to up to 29% on a fully diluted basis upon completion of the second tranche of the investment.
The acquisition is strategically aimed at enabling CIE Automotive to qualify as a captive consumer of solar power. AMP Energy is in the process of setting up a captive generating plant with a gross capacity of approximately 7.5 MWp (5 MWac). This plant will supply solar power to CIE Automotive’s facility in Chakan, Pune. By holding at least 26% of the total equity capital in the power generating plant, CIE Automotive intends to optimize its power costs at the Chakan facility.
AMP Energy C&I Thirty Two Private Limited, incorporated on 1st December 2023, is engaged in developing and operating renewable energy projects. The entity is a special purpose vehicle created by AMPIN C&I Private Limited. As of now, AMP Energy has not commenced commercial operations. The acquisition does not require any governmental or regulatory approvals.
The investment in AMP Energy is structured to occur in two tranches. The first tranche has been completed as of 2nd December 2025. The second and final tranche is expected to be completed within the next four months. This phased approach allows CIE Automotive to gradually increase its equity stake in AMP Energy.
